GENERAL TERMS AND CONDITIONS FOR THE SALE OF GOODS AND SERVICES

The following General Terms and Conditions for the Sale of Goods and Services (the “Terms”) apply to all sales of Goods and/or the performance of Services by Guard Pro Home (the “Company,” “Guard Pro Home,” “we,” or “us”). All purchases by the Customer are expressly limited and conditional upon acceptance of these Terms.
These Terms are subject to change by Guard Pro Home at any time, without prior written notice, in the Company’s sole discretion. Any changes will be effective as of the “Last Updated Date” referenced above.
1. Interpretation; Definitions
1.1 Definitions
In these Terms:
“Contract” means the agreement between the Customer and Guard Pro Home arising from Customer’s acceptance of the Company’s Offer for the supply of Goods and/or Services, and governed by these Terms.
“Customer” means the purchaser of the Goods and/or Services from Guard Pro Home.
“Delivery Date” means the agreed date for delivery of Goods and/or performance of Services.
“Deposit” means a non refundable deposit equal to fifty percent (50%) of the Purchase Price unless otherwise stated in writing.
“Goods” means all goods, materials, equipment, components, and products supplied or installed by Guard Pro Home, including but not limited to:
security window film, door and frame reinforcement hardware, strike plates, locks, hinges, anchoring systems, ballistic or reinforced panels, panic room components, and other residential or commercial fortification products specified in the Contract.
“Installation Terms and Conditions” means Guard Pro Home’s Installation Terms and Conditions, which form part of these Terms.
“Maintenance Guidelines” means the standard care and maintenance instructions applicable to the installed Goods.
“Material Installation Defect” means a significant defect in installation that materially affects performance or durability. Minor visual imperfections that do not affect function are excluded.
“Monitoring Services” means any monitoring or alarm response services provided by third parties. Guard Pro Home does not provide monitoring services.
“Offer” means the written or electronic proposal issued by Guard Pro Home detailing the Goods, Services, pricing, scope, Delivery Date, and Premises.
“Premises” means the Customer’s property where Goods and Services are provided.
“Services” means installation, reinforcement, fortification, assessment, and related services provided by Guard Pro Home, excluding Monitoring Services.

2. Services
2.1 Guard Pro Home supplies Goods and, where applicable, installs the Goods.
2.2 Guard Pro Home does not provide monitoring or emergency response services. Any such services are the responsibility of third-party providers.
3. Entire Agreement; Applicability
3.1 The Contract, including these Terms and the Installation Terms and Conditions, constitutes the entire agreement between the Parties.
3.2 These Terms prevail over any Customer purchase terms.
3.3 Guard Pro Home may make non material changes to Services that do not affect scope, pricing, or timelines.
4. Offer and Formation of Contract
4.1 An Offer constitutes an offer to provide Goods and/or Services under these Terms.
4.2 Offers are valid for thirty (30) days unless otherwise stated.
4.3 Acceptance of the Offer constitutes unconditional acceptance of these Terms.
4.4 Changes after acceptance require written consent and may result in price or schedule adjustments.
5. Pricing and Payment
5.1 Prices are as set out in the Offer.
5.2 A Deposit is due upon acceptance. The balance is due no later than the Delivery Date.
5.3 Guard Pro Home may suspend Services for non-payment.
5.4 Prices may be corrected for clerical or system errors.
5.5 All prices exclude applicable taxes.
5.6 No set-offs or withholdings are permitted.
5.7 Payments are accepted by credit card, e-transfer, Cheque.
5.8 Late payments accrue interest at the lesser of 2% per annum or the maximum allowed by law.
6. Delivery of Goods
6.1 Delivery occurs at the Premises on the agreed Delivery Date.
6.2 Failure to accept delivery may result in storage fees or termination.
6.3 Liability for non delivery is limited to replacement or invoice adjustment.
7. Performance of Services; Customer Responsibilities; Cancellations
7.1 Performance dates are estimates only.
7.2 Customer installed Goods are at Customer’s sole risk.
7.3 Customer must comply with Installation Terms and Conditions.
7.4 Customers are responsible for site access, permits, and compliance with law.
7.5 Connectivity for any third party systems is the Customer’s responsibility.
7.6 Goods may not be resold.
7.7 Customers are responsible for safeguarding installed Goods.
7.8 Damage caused after installation is the Customer’s responsibility.
7.9 Failure to comply may result in cancellation and charges.
7.10 Cancellations require 48 hours’ written notice. Deposits are non-refundable.
8. Title and Risk
8.1 Risk passes on delivery.
8.2 Title remains with Guard Pro Home until full payment is received.
8.3 Guard Pro Home retains a security interest under the Ontario Personal Property Security Act.
9. Customer Acts or Omissions
Delays caused by the Customer do not constitute breach by Guard Pro Home.
10. Warranties and Disclaimers
10.1 Goods are covered by manufacturer warranties only.
10.2 Guard Pro Home warrants professional installation.
10.3 Installation warranty applies only to workmanship, not materials.
10.4 Guard Pro Home is not an insurer and does not guarantee crime prevention.
10.5 Panic Room Disclaimer
Customer acknowledges and agrees that any panic room, safe room, fortified room, or hardened area (collectively, “Panic Room”) installed or modified by Guard Pro Home is intended solely as a risk-mitigation measure and does not guarantee safety, protection from harm, or prevention of forced entry, criminal activity, injury, or death.
Panic Rooms are designed to delay intrusion and enhance resistance, not to create an impenetrable or fail proof structure. Actual performance may vary depending on construction limitations, existing building conditions, materials used, method of attack, duration of attack, tools employed, fire conditions, environmental factors, and human behavior.
10.6 No Life-Safety or Emergency Guarantee
Customer acknowledges that Panic Rooms are not substitutes for emergency services, evacuation, fire-rated assemblies (unless expressly stated in writing), or code compliant life safety systems. Guard Pro Home does not represent or warrant that a Panic Room will:
withstand all forms of forced entry, fire, smoke, or structural failure;
allow safe occupancy for any specific duration;
ensure rescue or emergency response; or
comply with any specific life-safety or fire-resistance rating unless expressly stated in the Offer.
10.7 Use at Customer’s Own Risk
Customer assumes all risks associated with the use, occupancy, and reliance on any Panic Room. Guard Pro Home shall not be responsible for decisions made by occupants before, during, or after any emergency or perceived threat.
10.8 GOODS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”.
10.9 No implied warranties apply except as expressly stated.
11. Limitation of Liability
11.1 No liability for indirect or consequential damages.
11.2 Total liability is limited to amounts paid under the Contract.
11.3 Customer assume all risks related to the effectiveness of Goods.
11.4 Limitations apply subject to gross negligence or bodily harm exceptions.
11.5 Panic Room Limitation of Liability
Without limiting the generality of this Section 11, Customer expressly agrees that Guard Pro Home shall not be liable for any loss, damage, injury, death, or claim arising out of or relating to:
the design, installation, existence, use, or inability to use any Panic Room;
reliance on a Panic Room during an actual or perceived emergency;
failure of a Panic Room to perform as expected; or
criminal acts, forced entry, fire, or other emergencies occurring at the Premises.
12. Indemnity
Customer indemnifies Guard Pro Home against third-party claims arising from use of Goods or Services, except for willful misconduct.
13. Insurance
Customer must maintain adequate insurance coverage.
14. Compliance with Law
Customer must obtain all permits and comply with all laws, including those related to enhanced security or fortification.
15. Force Majeure
Guard Pro Home is not liable for delays due to events beyond reasonable control.
16. Term of Services
Service terms renew annually unless cancelled with notice.
17. Termination
Guard Pro Home may terminate for non-payment, breach, or insolvency.
18. Waiver
Waivers must be in writing.
19. Confidentiality
All proprietary information remains confidential.
20. Governing Law and Jurisdiction
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable therein.
All proceedings shall be brought in the courts of Ontario.
21. General
21.1 Amendments must be in writing.
21.2 Assignment by Customer requires consent.
21.3 Independent contractor relationship.
21.4 No third-party beneficiaries.
21.5 Severability applies.
